Commercial Notice: By accessing or using SeanWalters.com or ProYardHub.com (collectively, "the Sites," "Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you are expressly prohibited from using the Sites and must discontinue use immediately.

1. Acceptance of Terms

Execution of quote dispatches, directory listing registrations, or asset inquiries via the Platform constitutes full binding acceptance of all terms, conditions, risk allocations, and operational constraints outlined in this instrument.

2. Description of Platform & Services

We operate an automated commercial directory network and B2B lead-routing platform connecting contractors, project managers, and equipment buyers with independent local equipment rental yards.

• For Contractors and Buyers: The Platform provides equipment searching, technical specification reference, and automated quote request routing to local yards.
• For Equipment Rental Yards: The Platform provides business directory listings, category placement, and pay-per-lead (PPL) or subscription-based contractor quote delivery.

3. Platform Role & Relationship Disclaimer

We are a technology and marketing directory engine, not an equipment dealer or rental operator.

1. Independent Vendors: All rental yards, dealers, and equipment suppliers listed on the Platform are independent third-party commercial entities. We do not own, maintain, inspect, lease, or deliver any physical equipment listed on the Platform.
2. No Rental Contracts: Any rental transaction, lease agreement, freight arrangement, or payment agreed upon between a buyer and a yard is strictly between those two parties. We are not a party to, nor liable for, any commercial contracts or disputes resulting from forwarded inquiries.

4. User Conduct & Accuracy of Submissions

When submitting quote requests, claiming yard listings, or communicating through the Platform, you agree to:

• Provide true, accurate, current, and complete information regarding job-site locations, project requirements, and company contact details.
• Not submit false, misleading, or automated spam inquiries.
• Not attempt to bypass, disable, or interfere with security-related features, lead routing infrastructure, or directory databases.

5. Vendor Subscriptions, Lead Purchases & Billing

• Lead Packs and PPL Routing: Commercial yards purchasing contractor lead packs or subscribing to lead routing acknowledge that fees cover the delivery of verified quote inquiries. Lead disputes and credit eligibility are governed by our refund policies.
• Recurring Subscriptions: Paid directory placements and subscription packages auto-renew every 30 days unless canceled at least 48 hours prior to the next billing date.
• Payment Processing: All transactions are processed securely via third-party billing providers (e.g., Stripe). You agree to provide current and complete billing information.

6. Intellectual Property Rights

Unless otherwise indicated, the Sites, including all source code, databases, website designs, audio, video, text, directory taxonomies, and graphics, are owned or controlled by us and are protected by copyright, trademark, and intellectual property laws. You may not copy, reproduce, aggregate, republish, or sell any content or data matrices from the Platform without prior written consent.

7. Limitation of Liability & Warranties

The Platform is provided on an "AS-IS" and "AS-AVAILABLE" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement.

In no event will we, our founders, officers, or affiliates be liable for any direct, indirect, consequential, incidental, or special damages—including lost profits, lost revenue, job-site downtime, or equipment failure—arising from your use of the Platform or interactions with third-party vendors.

8. Indemnification

You agree to defend, indemnify, and hold harmless Sean Walters, ProYardHub, and our affiliates against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

• Your use of and access to the Sites.
• Any rental contract or agreement executed between you and a third-party yard or contractor.
• Your violation of any term within these Terms of Service.

9. Governing Law

These Terms shall be governed by and defined following the laws of the State of Texas, without regard to its conflict of law principles.

10. Modifications & Contact

We reserve the right to amend these Terms at any time. Changes will be reflected with an updated "Last Updated" date. Continued use of the Platform following updates constitutes acceptance of the new Terms.
