Vendor and Lead Terms

1. Agreement Overview

These Vendor & Lead Terms ("Vendor Terms") govern the relationship between ProYardHub.com (operated under SeanWalters.com, "we," "us," or "Platform") and commercial equipment rental yards, dealers, suppliers, and fleet operators ("Vendor," "Yard," or "you").

By claiming a directory listing, purchasing a lead pack, subscribing to a featured category, or accepting forwarded contractor quote inquiries from our Platform, you agree to comply with and be bound by these Vendor Terms.

2. Directory Listings and Claiming Rights

  1. Public Listing Data: ProYardHub compiles and indexes commercial equipment rental yard listings using publicly accessible business data, manufacturer dealer directories, and proprietary pSEO datasets.
  2. Yard Claiming and Verification: Authorized yard owners, branch managers, or corporate rental directors may claim their yard listing to update fleet availability, specs, contact routing, and regional service boundaries.
  3. Representation: You represent and warrant that you are an authorized representative of the yard entity you claim and that all fleet information, rates, and contact details provided are accurate and truthful.

3. Lead Generation and Delivery Mechanisms

ProYardHub captures inbound commercial equipment quote requests from contractors, project managers, and industrial buyers and routes them to local yards.

A. Free Unmasked Proof Leads

As part of our platform verification model, we may automatically forward "unmasked" contractor quote requests to non-paying local yards at zero cost. Accepting, contacting, or bidding on a free unmasked lead does not obligate you to a recurring subscription, but establishes your yard as an active recipient in our routing network.

B. Paid Lead Packs and Subscription Lead Forwarding

  • Pay-Per-Lead (PPL): Subscribing yards receive real-time, exclusive, or capped contractor inquiries based on their designated coverage radius and equipment categories.
  • Lead Delivery Channels: Leads are delivered instantaneously via automated JSON webhooks, direct email routing, or SMS notifications.
  • Lead Validity and Disputes: All lead disputes, invalid contact credits, and dispute timelines are strictly governed by our Refund & Lead Credit Policy.

4. Vendor Conduct and Response Expectations

To maintain network quality and protect contractor experience on ProYardHub, participating Vendors agree to:

  • Prompt Response Times: Contact forwarded contractor inquiries in a timely manner regarding equipment availability and pricing.
  • Honest Sizing and Pricing: Provide accurate equipment capacity quotes, freight estimates, and rental terms directly to the contractor.
  • No Spam or Re-Selling: Forwarded contractor quote details are provided solely for your yard to quote and fulfill the requested equipment rental. You are strictly prohibited from re-selling, brokering, or distributing lead contact information to third-party marketing brokers.

5. Pricing, Subscriptions and Auto-Renewal

  1. Billing Gateways: Paid featured placements, category sponsorships, and recurring lead packs are processed securely via Stripe.
  2. Auto-Renewal: Monthly subscription plans automatically renew every 30 days unless canceled through your yard dashboard or via written notice to support@proyardhub.com at least 48 hours prior to the billing date.
  3. Proration: We do not offer prorated cash refunds for partial billing periods once a cycle has commenced.

6. Independent Contractor Relationship

ProYardHub acts solely as an independent digital directory and automated lead routing venue.

  • We are not an agent, broker, or partner to your rental business.
  • We do not guarantee lease contract execution, equipment return condition, contractor creditworthiness, or job-site safety.
  • Any rental contract, deposit, insurance certificate, or freight arrangement executed between your yard and a contractor is strictly your independent commercial responsibility.

7. Modification and Termination

We reserve the right to suspend or remove any yard listing, reject lead claims, or terminate vendor account access at our sole discretion if a Vendor violates these Terms, submits fraudulent information, or generates repeated contractor complaints regarding deceptive practices.
